These Terms and Conditions ("Terms") govern your access to and use of the SyX-RAY cyber security platform, including all tools, APIs, EDR agents, threat intelligence services, and related applications (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms.

1. Authorized Use Only

1.1 Authorization Requirement

The Platform is intended exclusively for authorized security testing, monitoring, and defense. You must have explicit written permission from the owner of any system, network, domain, or asset before using the Platform to scan, test, monitor, or perform any security assessment against it.

1.2 Proof of Authorization

SyX-RAY reserves the right to request proof of authorization at any time. Failure to provide satisfactory evidence of authorization may result in immediate suspension or termination of your account.

2. Acceptable Use Policy

2.1 Prohibited Activities

You agree NOT to use the Platform to:

• Attack, exploit, or disrupt infrastructure, systems, or networks you do not own or have explicit authorization to test
• Conduct any illegal activities, including unauthorized access to computer systems
• Distribute malware, ransomware, or any malicious software
• Harass, threaten, or harm any individual or organization
• Violate any applicable local, national, or international laws or regulations
• Resell, redistribute, or sublicense Platform access without written consent
• Reverse-engineer, decompile, or attempt to extract source code from the Platform
• Interfere with or disrupt the Platform's infrastructure or other users' access

2.2 Responsible Disclosure

If you discover vulnerabilities using the Platform, you are expected to follow responsible disclosure practices. SyX-RAY is not responsible for how users handle vulnerability disclosures.

3. User Responsibility

SyX-RAY is NOT responsible for how users utilize the Platform. You are solely responsible for your actions and any consequences arising from your use of the Platform. You acknowledge that security testing, even when authorized, carries inherent risks, and you accept full responsibility for those risks.

4. EDR Agent Disclaimer

4.1 Automated Response Actions

The EDR Dispatcher agents may automatically take protective actions in response to detected threats, including but not limited to:

• Terminating (killing) malicious or suspicious processes
• Blocking IP addresses at the firewall level
• Quarantining files identified as malicious
• Isolating endpoints from the network
• Modifying firewall rules and access control lists

4.2 Acceptance of Risk

By deploying EDR agents, you acknowledge and accept that automated threat response actions may affect legitimate processes or network connectivity. SyX-RAY is not liable for any disruption, downtime, or data loss resulting from automated or manual threat response actions.

5. Threat Intelligence Disclaimer

All threat intelligence provided by the Platform is informational only and does not constitute legal, professional, or expert advice. Threat intelligence data is aggregated from public and third-party sources, and SyX-RAY does not guarantee its accuracy, completeness, or timeliness. You should not rely solely on Platform intelligence for critical security decisions without independent verification.

6. Disclaimer of Warranties

6.1 "As Is" Provision

The Platform is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, statutory, or otherwise. SyX-RAY specifically disclaims all implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

6.2 No Guarantee of Results

SyX-RAY does not guarantee that the Platform will detect all vulnerabilities, threats, or security issues. No security tool can provide 100% coverage. The absence of alerts or findings does not indicate the absence of security risks.

7. Limitation of Liability

To the maximum extent permitted by applicable law, SyX-RAY's total aggregate liability arising from or related to these Terms or your use of the Platform shall not exceed the total subscription fees paid by you to SyX-RAY during the twelve (12) months immediately preceding the event giving rise to the claim.

In no event shall SyX-RAY be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, business interruption, or reputational harm, regardless of the cause of action or theory of liability.

8. Indemnification

You agree to indemnify, defend, and hold harmless SyX-RAY, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your use or misuse of the Platform
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Your infringement of any third-party rights
• Any unauthorized scanning or security testing you conduct

9. Account Termination

9.1 Termination by SyX-RAY

We reserve the right to suspend or terminate your account immediately, without prior notice, if we reasonably believe you have violated these Terms, engaged in illegal activity, or used the Platform in a manner that could harm SyX-RAY or its users.

9.2 Termination by User

You may terminate your account at any time by contacting us. Upon termination, your access to the Platform will cease, and your data will be deleted in accordance with our Privacy Policy.

10. Intellectual Property

All content, code, designs, logos, trademarks, and other intellectual property associated with the Platform are owned by SyX-RAY or its licensors. These Terms do not grant you any rights to use SyX-RAY's intellectual property except as necessary to use the Platform in accordance with these Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Romania, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Romania.

12. Changes to These Terms

SyX-RAY reserves the right to modify these Terms at any time. We will notify registered users of material changes via email. Your continued use of the Platform after changes become effective constitutes acceptance of the revised Terms.

13. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
